The lawsuit alleges that Defendants issued a materially misleading registration statement recommending that GTx shareholders vote in favor of the proposed transaction. According to the complaint, the registration statement contains materially incomplete and/or misleading information concerning: (1) GTx’s and Oncternal’s financial projections relied upon by the Company’s financial advisor in support of its fairness opinion of the proposed transaction; and (2) potential conflicts of interests affecting certain members of the Board.
