Addus HomeCare Corporation was incorporated in Delaware in 2006 under the name Addus Holding Corporation for the purpose of acquiring Addus HealthCare, Inc. (Addus HealthCare). Addus HealthCare was founded in 1979. The Company provides home and community based services, which are primarily social in nature and are provided in the home, focused on the dual eligible population. Its services include personal care and assistance with activities of daily living, and adult day care. Its consumers are individuals with special needs who are at risk of hospitalization or institutionalization, such as the elderly, chronically ill and disabled. Its payor clients include federal, state and local governmental agencies, commercial insurers and private individuals. It provides home and community based services through over 96 locations across 19 states to over 25,000 consumers. The home and community based services the company provides are mainly social in nature and include assistance with bathing, grooming, dressing, personal hygiene and medication reminders, and other activities of daily living. It provides these services on a long-term, continuous basis, with an average duration of approximately 17 months per consumer. Its adult day centers provide a comprehensive program of skilled and support services and designated medical services for adults in a community-based group setting. Services provided by Company's adult day centers include social activities, transportation services to and from the centers, the provision of meals and snacks, personal care and therapeutic activities such as exercise and cognitive interaction. The Company's competition consists of home and community based service providers, home health providers, private caregivers, larger publicly held companies, privately held companies, privately held single-site agencies, hospital-based agencies, not-for-profit organizations, community-based organizations, managed care organizations and self-directed care programs. Its business is subject to extensive and increasing federal, state and local regulation.
