Embotelladora Andina S.A.was incorporated on February 7, 1946 under the Chilean Companies Law. It is involved in the production & distribution of Coca-Cola soft drinks. In addition to the Coca-Cola soft drinks business, through Vital S.A., the Company produces and distributes fruit juices and other fruit-flavored beverages in Chile under trademarks owned by The Coca-Cola Company (TCCC). Through Vital Aguas S.A ., it produces and sells mineral water and purified water in Chile under trademarks owned by TCCC. Through Envases Central S.A., it produces flavored waters and certain formats for soft drinks under trademarks owned by TCCC It also manufactures PET bottles for its own use in the packaging of Coca-Cola soft drinks in Chile and Argentina. In Brazil, the Company also distributes the beer brands Amstel, Bavaria, Birra Moretti, Dos Equis (XX), Edelweiss, Heineken, Kaiser, Murphy´s, Sol and Xingú. It distributes beer in the south of Argentina and spirits in the south of Chile. The Company uses numerous raw materials, including, without limitation, sugar, resin and aluminum, are used in producing its beverages and containers. It purchases these raw materials from both domestic and international suppliers. The Company's competitor in the Chilean franchise territory is Embotelladora Chilenas Unidas, a subsidiary of Compania Cervecerias Unidas S.A. Its main soft drink competitor in the Brazilian territory is American Beverage Company. The Company is subject to the full range of government regulations generally applicable to companies engaged in business in its franchise territories, including labor, social security, public health, consumer protection, environmental, sanitation, employee safety, securities and anti-trust laws.
