Angie's List Inc operates a national local services consumer review service and marketplace. Its services help consumers research, shop for and purchase local services for critical needs including home, health and automotive services.

Angie's List Inc was incorporated on April 23, 2010. The Company operates a consumer-driven solution for its members to research, hire, rate and review local professionals for critical needs, such as home, health care and automotive services. The Company's ratings and reviews, which are available only to its members, help its members to find provider for their local service needs. It generates revenue from both its members and its service providers. It derives membership revenue from subscription fees and, in certain cases, non-refundable initiation fees for monthly, annual and multi-year memberships. These fees are charged in advance and recognized ratably over the subscription period and the expected life of the membership, respectively. It also helps local service providers find quality customers and differentiate themselves in a competitive marketplace. The Company's members represent an attractive, targeted group of consumers for service providers. The Company's typical member is between the ages of 35 and 64, is married, owns a home, is college educated and has an annual household income of at least $100,000, based on information derived and interpreted by it as a result of its own analysis from general demographic data provided by Nielsen. The Company's value proposition offer both consumers and local service providers to strengthen its position as a trusted resource and allows it to derive revenue from both members and service providers. The Company's members' reviews span more than 720 categories of high cost of failure services such as home, health care and automotive services. The Company's members rate local service providers on an A through F grading scale based on six criteria: overall experience, price, quality, responsiveness, punctuality and professionalism. In addition to a letter grade, it encourages members to provide a detailed description and commentary on the service experience. Its competitors include: Yellow Pages, Consumers' CHECKBOOK, HomeAdvisor, Inc., American Ratings Corporation, Yelp, Inc., Facebook, Inc., Google, Inc., Groupon, Inc., LivingSocial, Inc., Microsoft Corporation and Yahoo! The business, which began as a consumer pay subscription service, has been progressively lightening the load on subscribers and shifting the cost of the model to advertising service providers. This transition has caused a flattening of top-line growth. The stock appreciated in the fourth quarter when IAC/InterActiveCorp (a company we have owned in the past) made an opportunistic cash offer to buy Angie’s List for slightly less than $9 per share. We felt the offer undervalued Angie’s business and precluded any opportunity to participate in the upside of the combined entity. The Market apparently agreed, and Angie’s stock price traded through the offer price to about $11 a share. We sold our position as the stock price exceeded our revised estimate of business value.
