American Railcar Industries, Inc., is incorporated in North Dakota. It is a North American designer and manufacturer of hopper and tank railcars. It also repairs and refurbishes railcars, provides fleet management services and designs and manufactures certain railcar and industrial components. The Company operates in three segments: manufacturing, railcar leasing and railcar services. Manufacturing consists of railcar manufacturing and railcar and industrial component manufacturing. Railcar leasing consists of railcars manufactured by the company and leased to third parties under operating leases. Railcar services consist of railcar repair services, engineering and field services, and fleet management services. All of its covered hopper railcars might be equipped with varying combinations of hatches, discharge outlets and protective coatings to provide its customers with a railcar designed to perform in precise operating environments. The Company manufactures non-pressure and high pressure tank railcars at its Marmaduke complex. Its tank railcars are designed to enable the handling of a number of commodities including petroleum products, ethanol, asphalt, vegetable oil, corn syrup and other food products. Railcar services consist of railcar repair, refurbishment and fleet management services. Its main customers for these services are leasing companies and shippers. The Company could service the entire railcar fleets of its customers, including railcars manufactured by other companies. ARI, Pressureaide, Center Flow and its railcar logo are its U.S. registered trademarks. The Company's operations include: three railcar assembly, sub-assembly and fabrication complexes, three railcar and industrial component manufacturing facilities, six railcar repair plants and four mobile repair facilities. The Company's business depends on the adequate supply of numerous railcar components, such as railcar wheels, brakes, axles, bearings, yokes, tank railcar heads, bolsters and other heavy castings, and raw materials, such as steel and normalized steel plate, used in the production of railcars. It uses hot rolled steel coils, as-rolled steel plate and normalized steel plate to manufacture railcars. Heavy castings it uses in its railcar manufacturing mainly include bolsters, sideframes, couplers and yokes. The Company obtains a considerable portion of its castings requirements from its joint venture, Ohio Castings. The Company's primary customers include companies that purchase railcars for lease by third parties, or leasing companies, industrial companies that use railcars for freight transport, or shippers, and Class I railroads. It competes with numerous companies in its railcar services businesses.
