Arrow Financial Corporation was incorporated on March 21, 1983 in the state of New York. Arrow owns two nationally chartered banks in New York (Glens Falls National and Saratoga National), and indirectly a health and life insurance agency (Capital Financial Group, Inc.), three primarily property and casualty insurance agencies (Loomis andLaPann, Inc., Upstate Agency, LLC and Glens Falls National Insurance Agencies, LLC), a registered investment adviser that advises its proprietary mutual funds (North Country Investment Advisers, Inc.), a Real Estate Investment Trust (Arrow Properties, Inc.) and four other non-bank subsidiaries whose operations are insignificant. The holding company's business consists mainly of the ownership, supervision and control of its two banks. It provides various advisory and administrative services and coordinates the general policies and operation of the banks. The company offers a range of commercial and consumer banking and financial products. Its deposit base consists of deposits derived mainly from the communities it serves. The company targets its lending activities to consumers and small and mid-sized companies in its immediate geographic areas. Through its banks' trust operations, the company provides retirement planning, trust and estate administration services for individuals, and pension, profit-sharing and employee benefit plan administration for corporations. The company engages in a range of lending activities, including commercial and industrial lending mainly to small and midsized companies; mortgage lending for residential and commercial properties; and consumer installment and home equity financing. It also maintains an active indirect lending program through its sponsorship of automobile dealer programs under which it purchases dealer paper, mainly from dealers that meet pre-established specifications. From time-to-time it has sold a portion of its residential real estate loan originations into the secondary market, mainly to the Federal Home Loan Mortgage Corporation and state housing agencies, while normally retaining the servicing rights. In addition to sales of loans into the secondary market, the company has periodically securitized some of the mortgage loans in its portfolio. The company lends mainly to borrowers within its geographic area.
