Activision Blizzard, Inc., was originally incorporated in California in 1979 and was reincorporated in Delaware in December 1992. On July 9, 2008, a business combination by and among Activision, Inc., Sego Merger Corporation, a wholly-owned subsidiary of Activision, Inc., Vivendi S.A., VGAC LLC, a wholly-owned subsidiary of Vivendi , and Vivendi Games, Inc., a wholly-owned subsidiary of VGAC LLC, was consummated. As a result, Activision, Inc. was renamed Activision Blizzard, Inc. The Company, through Activision Publishing, Inc., develops and publishes interactive software products and content, with a focus on developing and publishing video games on various consoles, handheld platforms and the PC both internally developed franchises and licensed properties. The Company operates in three segments - Activision Publishing, Blizzard Entertainment, and Activision Blizzard Distribution. The Activision Publishing, Inc. and its subsidiaries publish interactive entertainment software products and downloadable content. Blizzard Entertainment, Inc. and its subsidiaries publish real-time strategy, role-playing PC games and online subscription-based games in the MMORPG category. Activision Blizzard Distribution distributes interactive entertainment software and hardware products. The Company has been known for its internally-developed intellectual property, Call of Duty. On November 13, 2012, it released the latest series of the same - Call of Duty: Black Ops II. During 2012, it released four collections of downloadable content packs for Call of Duty: Modern Warfare 3. On January 29, 2013, it released Revolution, the first downloadable map pack for Call of Duty: Black Ops II, on the Xbox 360. The Company distributes interactive entertainment hardware and software products in Europe through its European distribution subsidiaries: Centresoft, in the U.K., and NBG, in Germany. These subsidiaries act as wholesalers in the distribution of products and also provide packaging, logistical and sales services. They provide services to its publishing operations and to various third-party publishers, including Sony, Nintendo, and Microsoft. The company primarily competes with other publishers of PC, online and video game console interactive entertainment software. In addition to third-party software competitors, integrated video game console hardware and software companies, such as Sony, Nintendo and Microsoft, compete directly with it in the development of software titles for their respective platforms. Lastly, it competes with publishers of mobile games, who focus on publishing games for handheld and mobile devices.
