AudioCodes Ltd. was incorporated in 1992 under the laws of the State of Israel. The Company designs, develops and sells products and services for voice and data over packet networks. Voice over packet, or VoP, networks consists of key network elements such as software switches, application servers, IP phones, media gateways and session border controllers (SBC). Its products provide the media gateway and SBC element in the network, as well as voice over Internet protocol, or VoIP, end-points such as IP Phones and VoIP mobile clients. Voice over IP gateway and SBC equipment can be generally segmented into three classes: service providers' gateways and SBCs for use in central office facilities, enterprise gateways and SBCs for use by corporations and in small offices, and residential gateways for use in homes. The Company categorizes its revenue from products and services into two main business lines: network and technology. Network products consist of customer premises equipment, or CPE, gateways for the enterprise and service provider (or carrier) markets and of carrier-grade-oriented low- and mid-density media gateways for service providers and ESBCs. Networking products are deployed in enterprise unified communications networks, service providers residential and access networks, trunking applications in carrier networks, and fixed-mobile convergence applications. Product families under networking products include Analog Media Gateways for Toll Bypass, Service Provider Access and Enterprise Applications, IPmediaTM Servers for Enhanced Services and Functionalities, 300HD and 400HD Series of High Definition IP Phones, VoIP Mobile Access Solution (VMAS), Element Management System and Session Experience Manager (SEM). Technology products are enabling in nature and consist of chips and boards business products. These are sold primarily to original equipment manufacturers, or OEMs, through distribution channels. Product families under technology products include Voice Over Packet Processors, TrunkPackTMVoIP Communication Boards, IPmediaTM Boards for Enhanced Services and Functionalities and Voice and Data Logging Hardware Integration Board Products. The Company's customers consist of service providers and enterprises, primarily via channels (such as distributors), OEMs, network equipment providers and systems integrators. It markets its products in the United States, Europe, Asia, Latin America and Israel primarily through a direct sales force. Its competitors are Mediatrix Telecom, Inc., Vega Stream Limited, Innovaphone AG, Pirelli Broadband (ADB), Technicolor, Nokia-Siemens, Huawei, Sonus, Dialogic, Cisco, Ferrari, HP and Ingate among others.
