Business Description

BB&T Corporation is a financial holding company. The Company conducts its business operations mainly through its commercial bank subsidiary, Branch Banking and Trust Company 'Branch Bank'. Its operations consist of a federally chartered thrift institution, BB&T Financial, FSB and several nonbank subsidiaries, which offer financial services products. Substantially all of the loans by the Company's subsidiaries are to businesses and individuals in these market areas. Branch Bank provides a range of banking services to individuals and businesses and offers a variety of loans to businesses and consumers. Such loans are made mainly to individuals residing in the market areas described above or to businesses located within the Company's geographic footprint. Branch Bank also markets a range of deposit services to individuals and businesses. Branch Bank offers, either directly, or through its subsidiaries, lease financing to businesses and municipal governments; factoring; discount brokerage services, annuities and mutual funds; life insurance, property and casualty insurance, health insurance and commercial general liability insurance on an agency basis and through a wholesale insurance brokerage operation; insurance premium financing; permanent financing arrangements for commercial real estate; loan servicing for third-party investors; direct consumer finance loans to individuals; and trust services. The direct nonbank subsidiaries of the Company provide a variety of financial services including automobile lending, equipment financing, full-service securities brokerage, payroll processing, asset management and capital markets services. The Company's banking operations are locally oriented and community-based. The subsidiaries of the Company compete actively with national, regional and local financial services providers, including banks, thrifts, securities dealers, mortgage bankers, finance companies and insurance companies. As a bank holding company and a financial holding company under federal law, BB&T is subject to regulation under the Bank Holding Company Act of 1956.
