Business Description

Bank of Commerce Holdings, Inc., is a corporation organized under the laws of California. The Company is a bank holding company. Its Company's main business is to serve as a holding company for Redding Bank of Commerce (Bank), which operates under two separate names Redding Bank of Commerce and Roseville Bank of Commerce and for Bank of Commerce Mortgage, its majority-owned mortgage brokerage subsidiary. It also has two unconsolidated subsidiaries, Bank of Commerce Holdings Trust and Bank of Commerce Holdings Trust II. The Company commenced banking operations in 1982 and currently operates four full service facilities in two diverse markets in Northern California. The services offered by the Bank include checking, interest bearing checking and savings accounts, money market deposit accounts, sweep arrangements, commercial, construction and term loans, travelers checks, safe deposit boxes, collection services and electronic banking activities. The Bank offers wealth management services through a third party investment broker. The Company engages in the highly competitive financial services industry. The Company competes with other banks, thrifts, credit unions and other non-bank financial institutions, such as investment banking firms, investment advisory firms, brokerage firms, investment companies and insurance entities which offer financial services, located both domestically and through alternative delivery channels such as the Internet. The Company's operations are subject to extensive regulation by federal, state and local governmental authorities and are subject to various laws and judicial and administrative decisions imposing requirements and restrictions on part or all of its operations.
