Business Description

BofI Holding, Inc., was incorporated in the State of Delaware on July 6, 1999 for the purpose of organizing and launching an Internet-based savings bank. The Company is the holding company for Bank of Internet USA, a nationwide federally-chartered savings bank operating primarily through the Internet. It provides a variety of consumer and wholesale banking services, focusing on gathering retail deposits over the Internet and originating and purchasing multifamily, single family and home equity mortgage loans and purchasing mortgage-backed securities. The Company attracts and services its customers mainly through the Internet, which affords low operating expenses and allows the Company to pass these savings along to its customers in the form of attractive interest rates and low fees on its products. The Company's deposits consist mainly of interest-bearing checking and savings accounts and time deposits. Its loans are first mortgages secured by multifamily and single family real property. Mortgage-backed securities consist of mortgage pass-through securities issued by government-sponsored entities and non-agency collateralized mortgage obligations and pass-through mortgage-backed securities issued by private sponsors. The Company also provides home equity second mortgages, mainly closed end loans and, to a lesser extent, lines of credit. It markets lending products directly to customers through a variety of channels depending on the product. The Company originates loans through four different origination channels: online retail, online wholesale and direct and indirect. It offers a full line of deposit products over the Internet to customers in all 50 states. Its deposit products consist of demand deposits, savings accounts and time deposits. Its customers access their funds through ATMs, debit cards, Automated Clearing House funds and checks. It also offers the following additional services in connection with its deposit accounts: Online Bill Payment Service, Online Check Imaging, ATM Cards or VISA Check Cards, Overdraft Protection, Electronic Statements. In real estate lending, it competes against traditional real estate lenders, including large and small savings banks, commercial banks, mortgage bankers and mortgage brokers.
