Anheuser-Busch Inbev SA is engaged in the production, marketing, and distribution of beer. Its brand comprises of Budweiser, Corona and Stella Artois. It also manufactures non-alcoholic beverages such as bottle water and Ice tea.

Anheuser-Busch Inbev SA was incorporated in Belgium on March 3, 2016. It is a brewing company. The Company produces, markets, distributes and sells a balanced portfolio of over 200 beer and other malt beverage brands. These include brands like Budweiser, Corona (except in the United States) and Stella Artois; multi-country brands such as Beck's, Leffe and Hoegaarden; and many local brands such as Bud Light and Michelob Ultra in the United States, Corona Light, Modelo Especial, Modelo Light, Negra Modelo, Victoria and Pacifico in Mexico, Skol, Brahma and Antarctica in Brazil, Quilmes in Argentina, Jupiler in Belgium and the Netherlands, Hasseroder in Germany, Klinskoye and Sibirskaya Korona in Russia, Chernigivske in Ukraine, Harbin and Sedrin in China and Cass in South Korea. It also produces and distributes soft drinks, particularly in Latin America, and other near beer products, such as Lime-A-Rita and other Rita family products in the United States and MixxTail in China, Argentina and other countries. The Company also produces soft drinks across the region including Coca-Cola products in El Salvador and Honduras, and Pepsico International and Schweppes products in Panama. The Company other brands include Águila, Águila Light, Arequipeña, Atlas, Balboa, Barena, Club, Club Colombia, Costeña, Costeñita, Cristal, Cusqueña, Golden, Imperial, Isenbeck, Pilsen, Pilsen Callao, Pilsen Trujillo, Pilsener, Poker, Poker Ligera and Salva Vida. It also distributes and sells its international brands such as Miller Lite, Miller Genuine Draft ("MGD"), Peroni Nastro Azzurro and Redd's in the region. The Company opeartes geographical segments including North America, Mexico, Africa, Latin America North, Latin America South, Europe, Asia Pacific and Global Export & Holding Companies. It competes against a mixture of national, regional, local and imported beer brands. In many countries in Latin America, it competes with local players and local beer brands. In North America, Brazil, and in other selected countries in Latin America, Europe and Asia Pacific, it competes with large international or regional brewers and international or regional brands. The Company faces competition from competitors icluding Heineken, Carlsberg, China Resources Snow Breweries, Tsingtao (Group) and Molson Coors Brewing Company. Its facilities in the United States are subject to federal, state and local environmental protection laws and regulations.

The long awaited acquisition of SAB Miller (SAB) by Anheuser Busch InBev (BUD) announced late last year created two interesting pro forma situations. The deal, expected to close in the second half of 2016, will combine the two largest global brewers and create an unrivaled player with strong pricing power in an increasingly consolidated global industry. It will also transform Molson Coors (TAP) into a stronger regional competitor following the acquisition of certain SAB assets that must be sold for anti-trust reasons.

Starting with BUD, we think the stock ought to grow nicely over the next several years as the true earnings power of the new company is revealed. Part of the gains will come from improving the underlying profitability of SAB, as operational control of its assets is transferred to BUD’s highly regarded management team led by CEO Carlos Brito. Another part will come from the capture of deal-related cost and revenue synergies, as duplication is eliminated and BUD’s global brands like Budweiser, Corona, and Stella are rolled out to legacy SAB markets in Africa and Latin America. Finally, the rest should come from financial engineering as BUD’s under-levered balance sheet is monetized to help finance the transaction. We also think the new company will likely command a higher valuation as SAB’s emerging market exposure will be accretive to top line growth over time.
