Broadway Financial Corp was incorporated under Delaware law in 1995 for the purpose of acquiring and holding all of the outstanding capital stock of Broadway Federal Savings and Loan Association as part of the Bank's conversion from a federally chartered mutual savings association to a federally chartered stock savings bank. The Company is a savings and loan holding company. Its main business is the operation of its wholly-owned subsidiary, Broadway Federal. Broadway Federal's main business consists of attracting retail deposits from the general public in the areas surrounding its branch offices and investing those deposits, together with funds generated from operations and borrowings, primarily in multi-family mortgage loans, commercial real estate loans and one-to-four family mortgage loans. In addition, it invests in securities issued by the federal government and federal agencies, residential mortgage-backed securities and other investments. Its revenues are derived mainly from interest income on loans and investments. The Company is facing competition from mortgage banking companies, commercial banks and savings and loan associations. The Company is regulated by the Board of Governors of the Federal Reserve System. The Bank is currently regulated by the Office of the Comptroller of the Currency and the Federal Deposit Insurance Corporation. The Bank's deposits are insured up to applicable limits by the Deposit Insurance Fund of the FDIC. The Bank is subject to the regulations of the FRB concerning reserves required to be maintained against deposits, transactions with affiliates, Truth in Lending and other consumer protection requirements and certain other matters.
