Business Description

CAI International, Inc. was founded in 1989. It was originally incorporated under the name Container Applications International, Inc. in the state of Nevada on August 3, 1989. On February 2, 2007, it was reincorporated under its present name in the state of Delaware. On May 16, 2007, it completed an initial public offering. It operates as an intermodal freight container leasing and management Company. It operates its business through two segments: container leasing and container management. It purchases new containers, lease them mainly to container shipping lines, freight forwarders and other transportation companies and either retain them as part of its owned fleet or sell them to container investors for whom it then provides management services. In operating its fleet, it leases, re-leases and disposes of containers and contract for the repair, repositioning and storage of containers. The Company leases its containers to lessees under long-term leases, short-term leases and finance leases. Long-term leases cover a specified number of containers that would be on lease for a fixed period of time. Short-term leases provide lessees with the ability to lease containers either for a fixed term of less than one year or without a fixed term on an as-needed basis, with flexible pick-up and drop-off of containers at depots worldwide. Through its international network of offices and agents it also has developed an active after-market program for containers retired from the international shipping fleet. Intermodal freight containers are large, standardized steel boxes, which it leases mainly to international steamship companies, and are used to transport cargo by a number of means, including ship, truck and rail. A portion of its container fleet is owned by CAI with the balance being owned by third parties on whose behalf it manages the containers. The Company competes mainly with other container leasing companies, including both larger and smaller lessors. It is subject to federal, state, local and foreign laws and regulations relating to the protection of the environment, including those governing the discharge of pollutants to air and water, the management and disposal of hazardous substances and wastes and the cleanup of contaminated sites. It might be subject to regulations promulgated in various countries, including the United States, seeking to protect the integrity of international commerce and prevent the use of containers for international terrorism or other illicit activities.
