Business Description

Capital Bank Financial Corp. was formerly known as North American Financial Holdings, Inc. It is a bank holding company incorporated in late 2009. The Company is a bank holding company, with the goal of creating a regional banking franchise in the southeastern region of the United States through organic growth and acquisitions of other banks, including failed, underperforming and undercapitalized banks. The Company operates 165 branches in Florida, North Carolina, South Carolina, Tennessee and Virginia. Through its branches, it offers a wide range of commercial and consumer loans and deposits, as well as ancillary financial services. Since its founding, it has acquired six depository institutions, including the assets and certain deposits of three failed banks from the FDIC, and operates branches located in North Carolina, South Carolina, Tennessee, Virginia and Florida. The Company expects to complete the acquisition of a seventh institution through its acquisition of Southern Community Financial in the second half of 2012. Through its branches, it offers a wide range of commercial and consumer loans and deposits, as well as ancillary financial services. The Company's banking business is primarily conducted through its indirect-majority held subsidiary, Capital Bank, N.A. The U.S. banking industry is highly regulated under federal and state law.
