Business Description

CBL & Associates Properties, Inc. was organized on July 13, 1993, as a Delaware corporation, to acquire all of the real estate properties owned by CBL & Associates, Inc., and its affiliates. On November 3, 1993, the Company completed its initial public offering. It is a self-managed, self-administered, fully-integrated real estate investment trust 'REIT' that is engaged in the ownership, development, acquisition, leasing, management and operation of regional shopping malls, open-air centers, community centers and office properties. The Company conducts all of its business through the Operating Partnership. It is the 100% owner of two qualified REIT subsidiaries, CBL Holdings I, Inc. and CBL Holdings II, Inc. CBL Holdings I, Inc. is the sole general partner of the Operating Partnership. The Company conducts its property management and development activities through CBL & Associates Management, Inc. The Company's properties are located in 27 states, but are mainly in the southeastern and midwestern United States. The Properties compete with various shopping facilities in attracting retailers to lease space. In addition, retailers at the Company's Properties face competition from discount shopping centers, outlet malls, wholesale clubs, direct mail, television shopping networks, the internet and other retail shopping developments. The Company's Properties are in compliance in all material respects with all federal, state and local ordinances and regulations regarding the handling, discharge and emission of hazardous or toxic substances.
