Community Bank System Inc was incorporated on April 15, 1983, under the Delaware General Corporation Law. It is a single bank holding company.The Bank operates as a community bank and engages in banking, employee benefit services and wealth management services. The Bank operates 183 full-service branches. Its subsidiaries also provide defined contribution plan administration services, actuarial and benefit consulting services, Collective Investment Fund administration and institutional trust services, administration, servicing and marketing of various flexible employee benefit programs, broking services, issues mandatorily-redeemable preferred securities which are considered Tier I capital under regulatory capital adequacy guidelines. The Banks subsidiaries provide full-service insurance agency offerings primarily property and casualty products, invests in residential real estate loans, cash management, investment, and treasury services to the Bank, broker-dealer and investment advisory services, banking-related services to the Pennsylvania branches of the Bank, asset management services to individuals, corporations, corporate pension and profit sharing plans, and foundations. The Company competes actively for loans, deposits and customers with other national and state banks, thrift institutions, credit unions, retail brokerage firms, mortgage bankers, finance companies, insurance companies, and other regulated and unregulated providers of financial services. The Company and its subsidiaries are subject to the laws and regulations of the federal government and the states in which they conduct business.
