CNB Financial Corporation is a financial holding company. The Company engaged in providing banking activities and services including checking, savings, and time deposit accounts; real estate, commercial, industrial, residential and consumer loans.

CNB Financial Corp was incorporated under the laws of the Commonwealth of Pennsylvania in 1983. The Company, along with its subsidiary, CNB Bank, provides banking and related services. In addition, the Bank provides trust and asset management services, including the administration of trusts and estates, retirement plans, and other employee benefit plans as well as wealth management services. The Bank serves to individual and corporate customers and is subject to competition from other financial institutions and intermediaries with respect to these services. In addition to the Bank, the Company also operates a consumer discount loan and finance business through its wholly owned subsidiary, Holiday Financial Services Corporation. The Company's market area is concentrated in the central and northwest regions of the Commonwealth of Pennsylvania and in the central region of the state of Ohio. The Company faces competition from commercial banks and from other financial service providers such as consumer finance companies, thrifts, investment firms, mutual funds and credit unions. It also faces competition for loans and other financial services from Mortgage banking firms, leasing companies, financial affiliates of industrial companies, brokerage firms, retirement fund management firms, and even government agencies. The Company is subject to the oversight of the Federal Reserve Board and the Pennsylvania Department of Banking, and the Bank is subject to the regulation, supervision and examination by the federal and state banking laws and regulations as well as the Federal Deposit Insurance Corporation, or FDIC.
