Cogent Communications Group, Inc., was incorporated in the state of Delaware in 1999. The Company provides Internet access, Internet Protocol, and communications services to small and medium-sized businesses, communications service providers, and other bandwidth-intensive organizations in North America, Europe, and Japan. It offers on-net services, off-net services and non-core services. The Company offers on-net services of Internet access and IP connectivity ranging from 100 Megabits per second to 10 Gigabits per second of bandwidth to customers located in buildings that are physically connected to network and corporate customers. To corporate customers the Company offers Internet access at a speed of 100 Megabits per second. The corporate customers include law firms, financial services firms, advertising and marketing firms and other professional services businesses. The on-net services offered to customers include Internet access at speeds of up to 10 Gigabits per second. These customers include bandwidth-intensive users such as universities, other Internet service providers, telephone companies, cable television companies, web hosting companies, content delivery networks and commercial content providers. The off-net services are sold to businesses that are connected to the Company's network primarily by means of last mile access service lines obtained from other carriers in the form of point-to-point, TDM, POS, SDH and/or Carrier Ethernet circuits. In non-core services, which consist of legacy services of companies whose assets or businesses the Company has acquired and continue to support, but do not actively sell, include voice services provided only in Toronto, Canada. The Company operates 43 data centers comprising over 450,000 square feet throughout North America and Europe that allow customers to co-locate their equipment and assess the network. The network is comprised of in-building riser facilities, metropolitan optical networks, metropolitan traffic aggregation points and inter-city transport facilities. The Company's network serves over 180 metropolitan markets in North America, Europe and Japan and encompasses 1,380 multitenant office buildings; 650 carrier-neutral Internet aggregation facilities, data centers and single-tenant buildings; 580 intracity networks consisting of over 27,000 fiber miles; an inter-city network of more than 57,500 fiber route miles; and multiple transatlantic and transpacific circuits that connect the North American, European and Japanese portions. The Company created its network by acquiring optical fiber from carriers with large amounts of unused fiber and directly connecting Internet routers to existing optical fiber national backbone. The Company faces competition from incumbent carriers, Internet service providers and facilities-based network operators. The Company is subject to several government and statutory regulations.
