Cellcom Israel Ltd., was incorporated in 1994 in Israel. The Company is a provider of cellular communications services. It offers a range of cellular services through its cellular networks covering all of the populated territory of Israel. These services include basic and advanced cellular telephone services, text and multimedia messaging services and advanced cellular content and data services. The Company offers its subscribers a selection of handsets from various global manufacturers, as well as extended warranty and repair and replacement services. It also offers landline transmission and data services to business customers and telecommunications operators. In addition, it offers transmission and data services to business customers and telecommunications operators. The Company offers its cellular subscribers a number of calling plans, designed to adapt to their particular characteristics and changing needs. It offers two methods of payment: pre-paid and post-paid. Pre-paid services are offered to subscribers who pay for its services prior to obtaining them, usually by purchasing its 'Talkman' pre-paid cards or 'virtual' Talkman cards. Post-paid services are offered to subscribers who are willing to pay for its services through banking and credit arrangements, such as credit cards and direct debits. The Company's main service is basic cellular telephony. In addition it offers many other services with enhancements and additional features to its basic cellular telephony service. These services include voice mail, cellular fax, call waiting, call forwarding, caller identification and conference calling. The Company also offers both an outbound roaming service to its subscribers when traveling outside of Israel and an inbound roaming to visitors to Israel who could 'roam' into its network. As of December 31, 2013, it had commercial roaming relationships with 564 operators in 179 countries based on the standard agreements of the GSM organization (an umbrella organization in which all the cellular operators operating with GSM technology are members). In addition, as of December 31, 2013, it had 3G roaming arrangements with 327 of these operators, in 113 countries, enabling its 3G roamers to use data services abroad. In addition to its cellular services, it provides landline telephony, transmission and data services, using its approximately 1,700 kilometers of inland fiber-optic infrastructure and complementary microwave links. The Israeli cellular telephone market is highly competitive. The Company competes for subscribers with nine other cellular communication operators: four MNOs (Partner, Pelephone, Hot Mobile and Golan) and five MVNOs (Rami Levy, Home Cellular, Alon Cellular, Azi and Cellact). A part of the Company's operations is subject to the Israeli Communications Law, 1982, the Israeli Wireless Telegraph Ordinance, 1972, the regulations promulgated there under and the license for the provision of cellular services that it r
