Capitol Federal Financial Inc is a Maryland corporation that was incorporated in April 2010 to be the successor corporation upon completion of the mutual-to-stock conversion of Capitol Federal Savings Bank MHC. The bank is the only operating subsidiary of the Company. The Bank is a federally chartered and insured savings bank. It attracts retail deposits from the general public and invest those funds mainly in permanent loans secured by first mortgages on owner-occupied, one- to four-family residences. To a lesser extent, it also originates consumer loans mainly secured by first mortgages on one- to four-family residences, multi-family and commercial real estate loans, and construction loans for one- to four-family residences, multi-family dwellings, and commercial properties. The Company purchases whole one- to four-family mortgage loans from correspondent and nationwide lenders, participate in loans with other lenders that are secured by commercial real estate and commercial properties, and invest in certain investment securities and mortgage-backed securities using funding from retail deposits, Federal Home Loan Bank borrowings, and repurchase agreements. The main sources of funds for lending activities include deposits, loan repayments, investment income, borrowings, and funds provided from operations. The Company mainly serves the metropolitan areas of Topeka, Wichita, Lawrence, Manhattan, Emporia and Salina, Kansas and a portion of the metropolitan area of greater Kansas City through 36 traditional and 10 in-store branches. Its main competitors include savings institutions, commercial banks, credit unions, and mortgage bankers. Other savings institutions, commercial banks, credit unions, and finance companies provide vigorous competition in consumer lending. The Company, as a savings and loan holding company, is examined and regulated by the FRB. The Company is subject to extensive regulation, supervision, and examination by the OCC, FRB, and the FDIC.
