Business Description

Chemed Corporation was incorporated in Delaware in 1970 as a subsidiary of W. R. Grace & Co. and succeeded to the business of W. R. Grace & Co.'s Specialty Products Group as of April 30, 1971 and remained a subsidiary of W. R. Grace & Co. until March 10, 1982. The Company operates through its two wholly owned subsidiaries: VITAS Healthcare Corporation or VITAS and Roto-Rooter Group, Inc. or Roto-Rooter. During 2009 the Company conducted its business operations in two segments: Vitas Group or Vitas and the Roto-Rooter Group or Roto-Rooter. The VITAS segment provides hospice services for patients with severe, life-limiting illnesses. This type of care is aimed at making the terminally ill patient's end of life as comfortable and pain-free as possible. Hospice care is typically available to patients who have been initially certified or re-certified as terminally ill by their attending physician, if any, and the hospice physician. VITAS offer all levels of hospice care in a given market, including routine home care, inpatient care and continuous care. Over 90% of VITAS' revenues are derived through Medicare and Medicaid reimbursement programs. The Roto-Rooter segment provides repair and maintenance services to residential and commercial accounts using the Roto-Rooter registered service mark. Such services include plumbing and sewer, drain and pipe cleaning. They are delivered through company-owned and operated territories, independent contractor-operated territories and franchised locations. This segment also manufactures and sells products and equipment used to provide such services. The principal raw materials needed for the Company's manufacturing operations are purchased from United States sources. Vitas also competes with a number of national and regional hospice providers, including Odyssey Healthcare, Inc., hospitals, nursing homes, home health agencies and other health care providers. The Company is subject to federal and state regulation.
