Business Description

Charter Financial Corporation is a federally-chartered Corporation established in October 2001 and is a savings and loan holding company. Charter Financial serves as the holding company for CharterBank. CharterBank is a federally chartered stock savings bank and was originally founded in 1954 as a federally chartered mutual savings and loan association. The Company's principal business consists of attracting retail deposits from the general public and investing those deposits, together with funds generated from operations, in investment securities, commercial real estate loans, one- to four-family residential mortgage loans, construction loans and, to a lesser extent, commercial business loans, home equity loans and lines of credit and other consumer loans. First Charter, MHC is the Company's federally chartered mutual holding company. First Charter, MHC's principal business activity is the ownership of 11,457,924 shares of common stock of Charter Financial, or approximately 61% of Charter Financial's outstanding shares. The Company offers a range of loan products with a variety of rates and terms. Its lending operations consist of the following major segments: commercial real estate lending; single-family residential mortgage lending for retention in its portfolio; construction lending; and residential mortgage lending for resale in the secondary mortgage market, generally on a servicing-released basis. To a lesser extent, the Company also originates consumer loans, including home equity loans and other forms of consumer installment credit, and commercial business loans. The Company offers commercial real estate lending, which involves additional risks compared to one- to four-family residential lending. Repayment of commercial real estate loans often depends on the successful operations and income stream of the borrowers, and commercial real estate loans typically involve larger loan balances to single borrowers or groups of related borrowers compared to residential real estate loans. The Company originates first and second mortgage loans secured by one- to four-family residential properties within Georgia and Alabama. The Company faces competition both in making loans and attracting deposits. Its competition for loans comes from commercial banks, savings institutions, mortgage banking firms, credit unions, finance companies, credit card banks, insurance companies, and brokerage and investment banking firms. It faces additional competition for deposits from short-term money market funds and other corporate and government securities funds and from brokerage firms and insurance companies. Charter Financial is also subject to the rules and regulations of the Securities and Exchange Commission under the federal securities laws.
