Chesapeake Lodging Trust, a Maryland trust was organized in June 2009. It is a self-advised real estate investment trust (REIT). The Company is focused on investments in mainly upper-upscale hotels in major business and convention markets and, on a selective basis, premium select-service and extended-stay hotels in urban settings or unique locations in the United States of America. The Company's operations are conducted through its subsidiary Chesapeake Lodging, L.P. It has entered into management agreements with third parties to manage its hotels. Out of its 15 current hotels, eight operate pursuant to franchise agreements with hotel brand companies, six operate pursuant to management agreements with hotel brand companies that allow them to operate under their respective brands, and one operates as an independent hotel. The Company faces competition from institutional pension funds, private equity investors, other REITs and numerous local, regional and national owners, including franchisors. The Company's hotels are subject to various covenants, laws, ordinances and regulations, including regulations relating to common areas and fire and safety requirements.
