Colonial Properties Trust was formed in Maryland on July 9, 1993. It was reorganized as an Alabama real estate investment trust in 1995. The Company is a multifamily-focused self-administered equity REIT that owns, develops and operates multifamily communities mainly located in the Sunbelt region of the United States. Also, it creates additional value for its shareholders by managing commercial assets through joint venture investments and pursuing development opportunities. It is a fully-integrated real estate company, which means that it is engaged in the acquisition, development, ownership, and management and leasing of multifamily communities and other commercial real estate properties. Its activities include full or partial ownership and operation of 125 properties as of December 31, 2012, located in Alabama, Arizona, Florida, Georgia, Louisiana, Nevada, North Carolina, South Carolina, Tennessee, Texas and Virginia, development of new properties, acquisition of existing properties, build-to-suit development and the provision of management, leasing and brokerage services for commercial real estate. The Company manages its business based on two operating segments: multifamily and commercial. Multifamily management is responsible for all aspects of multifamily operations, including day-to-day management and leasing of its 114 multifamily apartment communities (including two properties partially owned through unconsolidated joint ventures). Multifamily management is also responsible for all aspects of its for-sale residential disposition activities. Commercial management is responsible for all aspects of its commercial property operations, including the management and leasing services for 11 commercial properties as well as third-party management services for a commercial property in which it does not have an ownership interest and for brokerage services in other commercial property transactions. Of the 11 commercial properties, 4 are office properties and 7 are retail properties. The Company performs all of its for-sale residential and condominium conversion activities through CPSI. The ownership, development, operation and leasing of multifamily, office and retail properties are highly competitive. The Company competes with domestic and foreign financial institutions, other REITs, life insurance companies, pension trusts, trust funds, partnerships and individual investors for the acquisition of properties. Its properties are in material compliance in all material respects with all federal, state and local ordinances and regulations regarding hazardous or toxic substances.
