CoBiz Financial, Inc. was incorporated in Colorado on February 19, 1980, as Equitable Bancorporation, Inc. The Company is a financial services company headquartered in Denver, CO. It operates five distinct segments which are Commercial Banking, Investment Banking, Investment Advisory and Trust, Insurance and Corporate Support and Other. Through its subsidiary companies, it combine elements of personalized service found in community banks with sophisticated financial products and services traditionally offered by larger regional banks that it market to its targeted customer base of professionals, high-net-worth individuals and small to mid-sized businesses. The Company's wholly owned subsidiary CoBiz Bank (the Bank) is a full-service business banking institution serving two markets, Colorado and Arizona. In Colorado, the Bank operates under the name Colorado Business Bank and has 12 locations, including nine in the Denver metropolitan area, one in Boulder and two in the Vail area. In Arizona, the Bank operates under the name Arizona Business Bank and has six locations serving the Phoenix metropolitan area and the surrounding area of Maricopa County. It focuses on attracting and retaining high-quality personnel by maintaining an entrepreneurial culture and a decentralized business approach. CoBiz and its subsidiaries face competition in all of its principal business activities, not only from other financial holding companies and commercial banks, but also from savings and loan associations, credit unions, finance companies, mortgage companies, leasing companies, insurance companies, investment advisors, mutual funds, securities brokers and dealers, investment banks, other domestic and foreign financial institutions, and various nonfinancial institutions. CoBiz is a financial holding company registered under the Bank Holding Company Act of 1956, as amended (the BHCA), and is subject to regulation, supervision and examination by the Board of Governors of the Federal Reserve System (FRB).
