Business Description

ConocoPhillips was incorporated in the state of Delaware on November 16, 2001, in connection with, and in anticipation of, the merger between Conoco Inc. and Phillips Petroleum Company. The merger between Conoco and Phillips was consummated on August 30, 2002. It is an international, integrated energy Company. The business of the Company is organized into six operating segments: Exploration and Production, this segment mainly explores for, produces, transports and markets crude oil, natural gas and natural gas liquids on a worldwide basis; Midstream, this segment gathers, processes and markets natural gas produced by ConocoPhillips and others, and fractionates and markets natural gas liquids, predominantly in the United States and Trinidad. The Midstream segment mainly consists of its 50 percent equity investment in DCP Midstream, LLC; Refining and Marketing, this segment purchases, refines, markets and transports crude oil and petroleum products, mainly in the United States, Europe and Asia; LUKOIL Investment, this segment consists of its equity investment in the ordinary shares of OAO LUKOIL, an international, integrated oil and gas Company; Chemicals, this segment manufactures and markets petrochemicals and plastics on a worldwide basis. The Chemicals segment consists of its 50 percent equity investment in Chevron Phillips Chemical Company LLC and Emerging Businesses, this segment represents its investment in new technologies or businesses outside its normal scope of operations. The Company competes with private, public and state-owned companies in all facets of the petroleum and chemicals businesses. It is subject to the same numerous international, federal, state and local environmental laws and regulations as other companies in the petroleum exploration and production, refining and crude oil and refined product marketing and transportation businesses.
