Covenant Transportation Group Inc, a Nevada holding company, was organized in May 1994. The Company together with its wholly-owned subsidiaries offers truckload transportation and brokerage services to customers throughout the continental United States. The Company has reportable segment, its asset-based truckload services ('Truckload'). The Truckload segment consists of three asset-based operating fleets that are aggregated because they have similar economic characteristics and meet the aggregation criteria. The three operating fleets that comprise its Truckload segment are as follows: (i) Covenant Transport, Inc., its historical flagship operation, which provides expedited long haul, dedicated, temperature-controlled, and regional solo-driver service; (ii) Southern Refrigerated Transport, Inc., which provides mainly long haul and regional temperature-controlled service; and (iii) Star Transportation, Inc., which provides regional solo-driver and dedicated services, mainly in the southeastern United States. In addition, its Covenant Transport Solutions, Inc. subsidiary has several service offerings ancillary to its asset-based Truckload services, including: (i) freight brokerage service through freight brokerage agents who are paid a commission for the freight they provide; (ii) less-than-truckload consolidation services; and (iii) accounts receivable factoring. At December 31, 2013, it operated 2,688 tractors and 6,861 trailers. Of these tractors, 1,801 were owned, 655 were financed under operating leases, and 232 were provided by independent contractors, who own and drive their own tractors. Of these trailers, 2,660 were owned, 3,428 were financed under operating leases, and 773 were financed under capital leases. The Company competes to some extent with railroads and rail-truck intermodal service. Its operations are regulated and licensed by various U.S. agencies. Its Canadian business activities are subject to similar requirements imposed by the laws and regulations of Canada, as well as its provincial laws and regulations.
