CreXus Investment Corp., was formed as a Maryland corporation on January 23, 2008. The Company is a commercial real estate company that acquires, manages, and finances, directly or through its subsidiaries, commercial mortgage loans and other commercial real estate debt, commercial real property, commercial mortgage-backed securities, or CMBS, other commercial real estate-related assets and Agency residential mortgage-backed securities. It also engages in long-term sale-leaseback and build-to-suit transactions with companies in the U.S. It acquires CMBS which are rated AAA through BBB as well as CMBS that are below investment grade or are non-rated. The other commercial real estate-related securities and other commercial real estate asset classes consist of debt and equity tranches of commercial real estate collateralized debt obligations, or CRE CDOs, loans to real estate companies including real estate investment trusts, or REITs, and real estate operating companies, or REOCs, commercial real estate securities and commercial real property. In addition, it acquires residential mortgage-backed securities, or RMBS, for which a U.S. Government agency such as Ginnie Mae, or a federally chartered corporation such as Fannie Mae and Freddie Mac, guarantees payments of principal and interest on the securities. The Company is externally managed and advised by FIDAC, an investment advisor registered with the Securities and Exchange Commission. Its Manager is a fixed-income investment management company specializing in managing fixed income investments in Agency RMBS, non-Agency RMBS, including investment grade and non-investment grade classes, which are typically pass-through certificates created by a securitization of a pool of mortgage loans that are collateralized by residential real properties and collateralized debt obligations, or CDOs. The Company competes with other REITs, public and private funds, commercial and investment banks, commercial finance companies, life insurance companies and other entities. The Company has been elected and qualified to be taxed as a real estate investment trust, or REIT, for U.S. federal income tax purposes commencing with its taxable year ending on December 31, 2009.
