Business Description

Destination Maternity Corporation was incorporated in Delaware in 1982. The Company began operating retail stores in 1985 and completed its initial public offering in 1993. The Company is a designer and retailer of maternity apparel in the United States and is the only nationwide chain of maternity specialty stores. The Company is also the exclusive provider of maternity apparel to Kohl's, which operates approximately 1,127 stores throughout the United States. The Company operates its 658 stores under three retail nameplates: Motherhood Maternity(R), A Pea in the Pod(R) and Destination Maternity(R). In addition to its 658 stores, the Company operates 1,694 maternity apparel departments, which are referred to as leased departments, within the retailers such as Macy's(R), Sears(R), Babies'R'Us(R), Bloomingdale's(R), Boscov's(R) and Gordmans(R). The Company is the exclusive maternity apparel provider in each of its leased department relationships. The Company sells its merchandise on the internet mainly at its Company website and its brand-specific websites such as Motherhood.com and APeaInThePod.com. The Company also sells its merchandise through its Canadian website, MotherhoodCanada.ca. The Company currently faces competition on a nationwide basis from retailers such as Forever 21(R), Gap(R), H&M(R), jcpenney(R), Old Navy(R), Target(R) and Wal-Mart(R).
