Destination Maternity Corporation, a Delaware corporation was incorporated in 1982. The Company is a designer and retailer of maternity apparel in the United States and operates a chain of maternity specialty stores. It began operating retail stores in 1985 and completed its initial public offering in 1993. The Company is also the exclusive provider of maternity apparel to Kohl's, which operates approximately 1,146 stores throughout the United States. The Company operates its 625 stores under three retail nameplates: Motherhood Maternity, A Pea in the Pod and Destination Maternity. In addition to its 625 stores, the Company operates 1,383 maternity apparel departments within the retailers such as Macy's, Sears, Boscov's and Gordmans. The Company is the exclusive maternity apparel provider in each of its leased department relationships. It sells its merchandise on the internet mainly at its website DestinationMaternity.com and its brand-specific websites such as Motherhood.com and APeaInThePod.com. The Company operates 34 Motherhood stores in Canada and a Motherhood website MotherhoodCanada.ca through which it also sells its merchandise. The Company currently faces competition on a nationwide basis from retailers such as Gap, H&M, Old Navy, Target and Wal-Mart.
