Digi International Inc. was formed in 1985 as a Minnesota corporation and reorganized as a Delaware corporation in 1989. The Company is a provider of machine to machine networking products and solutions that enable the connection, monitoring and control of local or remote physical assets by electronic means. These networking products and solutions connect communication hardware to a physical asset so that information about the asset's status and performance can be sent to a computer system and used to improve or automate one or more processes. Increasingly these products and solutions are deployed via wireless networks. The Company focuses a significant amount of its development, sales and marketing efforts on four vertical markets that represent significant opportunities to expand its business: energy monitoring and management, fleet vehicle tracking, medical monitoring and reporting and storage tank monitoring and control. The Company sells its products through a global network of distributors, systems integrators, value added resellers (VARs) and to original equipment manufacturers (OEMs). Its distributors include Synnex, Arrow Electronics, Inc./NuHorizons, Ingram Micro, Tech Data Corporation, Future Electronics, Miel, Atlantik Elektronik GmbH, and Express Systems & Peripherals. The Company's manufacturing operations are conducted through a combination of internal manufacturing and external subcontractors specializing in various parts of the manufacturing process.
