Denbury Resources Inc., a Delaware corporation was originally incorporated in Canada in 1951. The Company is a domestic oil and natural gas producer in Mississippi and Montana. Its oil and natural gas properties are concentrated in the Gulf Coast and Rocky Mountain regions in the United States. Currently its properties with proved and producing reserves in the Gulf Coast region are situated in Mississippi, Texas, Louisiana and Alabama, and in the Rocky Mountain region are primarily situated in Montana, North Dakota, Utah and Wyoming. Its main focus is using CO2 in enhanced oil recovery ('EOR'), which it has been doing actively for over 12 years in the Gulf Coast region. Its Gulf Coast EOR operations are driven by CO2 produced from its natural source at Jackson Dome, Mississippi, which is transported to its Gulf Coast tertiary fields through pipelines that it either own or control through long-term financing leases. The Company sells the majority of its natural gas on one-year contracts, with prices fluctuating month-to-month based on published pipeline indices and with slight premiums or discounts to the index. The Company currently receives near NYMEX or Henry Hub prices for most of its natural gas sales in Mississippi. The Company faces competition from other oil and natural gas companies in all aspects of its business, including acquisition of producing properties, oil and gas leases, and CO2 properties; marketing of oil and natural gas; and obtaining goods, services and labor. The Company's operations are subject to various types of regulation at the federal, state and local levels. Such regulation includes requiring permits for drilling wells; maintaining bonding requirements in order to drill or operate wells and regulating the location of wells; the method of drilling and casing wells; the surface use and restoration of properties upon which wells are drilled; the plugging and abandoning of wells; and the composition or disposal of chemicals and fluids used in connection with operations. Its operations are also subject to various conservation laws and regulations.
