Business Description

DiamondRock Hospitality Company was incorporated in Maryland. It commenced operations in July 2004. It is a lodging focused real estate company that owns 26 premium hotels and resorts that contain approximately 11,828 guestrooms. The Company is committed to maximizing stockholder value through investing in premium full service hotels and, to a lesser extent, premium urban limited service hotels located throughout the United States. Its hotels are concentrated in key gateway cities and in destination resort locations and are all operated under a brand owned by one of the top three national brand companies Marriott, Starwood or Hilton. As an owner of hotels, the Company creates value by acquiring the right hotels with the right brands in the right markets, prudently financing its hotels, thoughtfully re-investing capital in its hotels, implementing profitable operating strategies, approving the annual operating and capital budgets for its hotels, closely monitoring the performance of its hotels, and deciding if and when to sell its hotels. In addition, the Company is committed to enhancing the value of its operating platform by being open and transparent in its communications with investors, monitoring its corporate overhead and following sound corporate governance best practice. The Company owns twenty premium hotels and resorts in North America. These hotels and resorts are all categorized as upper upscale and are located in high barrier to entry markets with multiple demand generators. Its properties are concentrated in five key gateway cities- New York City, Los Angeles, Chicago, Boston and Atlanta and in destination resorts such as the U.S. Virgin Islands and Vail, Colorado. It is currently own 26 hotels that contain 11,828 hotel rooms, located in the following markets: Atlanta, Georgia; Austin, Texas; Boston, Massachusetts; Charleston, South Carolina; Chicago, Illinois; Denver, Colorado; Fort Worth, Texas; Lexington, Kentucky; Los Angeles, California; Minneapolis, Minnesota; New York, New York; Oak Brook, Illinois; Orlando, Florida; Salt Lake City, Utah; Washington, D.C.; Sonoma, California; St. Thomas, U.S. Virgin Islands; and Vail, Colorado. We also own a senior mortgage loan secured by a 443-room hotel located in Chicago, Illinois and have the right to acquire, upon completion, a 282-room hotel under development in New York City. During 2011, it entered into an agreement to sell a portfolio of three hotels located in Lexington, Kentucky; Austin, Texas; and Atlanta, Georgia and the sale is expected to close during the first quarter of 2012. The Company is the sole general partner of its operating partnership and currently owns, either directly or indirectly, all of the limited partnership units of its operating partnership. The hotel industry is highly competitive and the Company's hotels are subject to competition from other hotels for guests.
