Enbridge Energy Management LLC was formed on May 14, 2002. The Company is a publicly traded limited liability company that manages and controls the business and affairs of Enbridge Energy Partners, L.P.,(the Partnership), a master limited partnership that owns petroleum and natural gas midstream businesses in the United States. The Company's sole investment is all of a special class of units issued by the Partnership, referred to as 'i-units,' representing limited partner interests in the Partnership. The General Partner owns all of its voting shares and is an indirect, wholly-owned subsidiary of Enbridge. By agreement with the Partnership and the General Partner, it manages the business and affairs of the Partnership. The Company is subject to federal income tax on its taxable income; however, the i-units owned by it generally are not entitled to allocations of income, gain, loss or deduction of the Partnership unless there is a liquidation of the Partnership.
