Third Avenue Management Comments on EnerSys - Mar 07, 2013

EnerSys (ENS) had been on our watchlist for about a year before the Fund initiated a position this past quarter at a valuation approximating 10 times earnings and free cash flow. If past is prologue, management should continue compounding value at above-average rates through thoughtful acquisitions and organic growth, supported by growing demand for backup power systems and a continuing shift from combustion engines to electric motors for environmental and total cost of ownership reasons, particularly in developing markets. Meanwhile, a healthy balance sheet, the company's free cash flow, and an undemanding valuation create a significant "margin of safety" and protection on the downside.

EnerSys, Inc., a Delaware corporation was incorporated in October 2000. The Company is a manufacturer, marketer and distributor of industrial batteries. It also manufactures, markets, and distributes related products such as chargers, power equipment and battery accessories, and it provides related after-market and customer-support services for industrial batteries. The Company markets and sells its products globally to over 10,000 customers in more than 100 countries through a network of distributors, independent representatives and its internal sales force. It operates and manages its business in three geographic regions of the world—Americas, EMEA and Asia, as described below. Its business is decentralized with manufacturing locations throughout the world. The Company has three reportable segments based on geographic regions, defined as follows: Americas, which includes North and South America, with its segment headquarters in Reading, Pennsylvania, USA; EMEA, which includes Europe, the Middle East and Africa, with its segment headquarters in Zurich, Switzerland; and Asia, which includes Asia, Australia and Oceania, with its segment headquarters in Singapore. It has two industrial battery product lines: reserve power products and motive power products. Reserve power products are used for backup power for the continuous operation of critical applications in telecommunications systems, uninterruptible power systems, or "UPS" applications for computer and computer-controlled systems, and other specialty power applications, including security systems, premium starting, lighting and ignition applications, in switchgear, electrical control systems used in electric utilities, large scale energy storage, energy pipelines, in commercial aircraft, satellites, military aircraft, submarines, ships and tactical vehicles. Motive power products are used to provide power for manufacturing, warehousing and other material handling equipment, mainly electric industrial forklift trucks, mining equipment, diesel locomotive starting and other rail equipment. The Company's main competitors are Exide Technologies, Hoppecke, FIAMM, NorthStar Battery, SAFT as well as Chinese producers in the reserve products market; and Exide Technologies, Hoppecke and Midac in the motive products market. The Company's operations are also subject to federal, state, local and international occupational safety and health regulations, including laws and regulations relating to exposure to lead in the workplace.
