Emeritus Corporation is a Washington Corporation founded in 1993. The Company owns and operates a portfolio of high-quality, purpose-built communities providing services to its residents including independent living, assisted living, specialized memory care, and, to a lesser extent, skilled nursing care. It strives to provide a variety of supportive living services in a professionally staffed environment that enables seniors to live with dignity and independence. Its holistic approach enhances every aspect of its residents' lives by assisting them with life enrichment activities including transportation, socialization and education, housing, and 24-hour personal support services, such as medication management, bathing, dressing, personal hygiene, and grooming. The average age of its residents is 85. As of December 31, 2012, it operated 483 senior living communities in 45 states. The communities consisted of approximately 43,000 residential rooms or suites (collectively 'units') with a resident capacity for approximately 50,100 residents. Its 'Consolidated Portfolio' consists of owned and leased communities and its 'Operated Portfolio' consists of its Consolidated Portfolio and the communities it manage. Its Operated Portfolio includes 298 communities that offer Alzheimer's/dementia ('memory care') services with approximately 6,900 units in a mix of both free-standing communities and as an attached wing of its senior living communities. Dementia is a loss of or decline in memory and other cognitive abilities. It provides management services to independent and related-party owners of assisted living communities, including its joint ventures. The Company managed 22 communities as of December 31, 2012 and 150 communities, including the Sunwest JV communities, as of December 31, 2011. Of the 22 managed communities, nine are owned by joint ventures in which it has an interest and thirteen are owned by third parties. The Company's competition comes from local, regional, and national assisted living companies that operate, manage, and develop residences within the geographic areas in which it operate, as well as retirement housing communities, home healthcare agencies, not-for-profit or charitable operators and, to a lesser extent, skilled nursing facilities and convalescent centers. The Company is subject to certain federal and state laws that regulate financial arrangements by health care providers, such as the Health Insurance Portability and Accountability Act of 1996, the Federal Anti-Kickback Law and the False Claims Act.
