Crexendo Inc was incorporated in Nevada under the name 'Netgateway, Inc.' on April 13, 1995. In November 1999, the company was reincorporated under the laws of Delaware. In July 2002, it changed its corporate name to 'iMergent, Inc.'. In May 2011, its stockholders approved an amendment to its Certificate of Incorporation to change its name from 'iMergent, Inc.' to 'Crexendo, Inc.' The name change was effective May 18, 2011. The Company provides web hosting, hosted telecommunications services, search engine optimization management, link building, e-commerce software, website development, and broadband internet services for businesses and entrepreneurs. Its services are designed to make enterprise-class hosting services available to small and medium-sized businesses at affordable monthly rates. The Company's operating segment includes StoresOnline, Crexendo Web Services, and Crexendo Network Services. The StoresOnline segment serves the small office/ home office (SOHO) business owner and entrepreneur seeking the tools and training to establish a successful website on the Internet. Specifically, StoresOnline services a market segment looking for a 'do-it-yourself' option as an alternative to the high cost of contracting an e-commerce or web developer and an ad agency for website promotion. Crexendo Web Services segment generate professional services revenue from search engine optimization services, link building, paid search management services, conversion rate optimization services, and website design and development. These services are billed on a fixed price basis or on a monthly recurring basis with an initial term of six to twelve months. Its segment provides telecommunications services transmit calls using VoIP technology, which converts voice signals into digital data packets for transmission over the Internet. Each of its calling plans provides a number of basic features typically offered by traditional telephone service providers. This platform enables a user via a single 'identity' to access and utilize services and features regardless of how the user is connected to the Internet, whether it is from a desktop device or a mobile device. The Company is subject to regulations generally applicable to all businesses. In addition, because of its workshop sales format, it is also subject to laws and regulations concerning sales and marketing practices, and particularly those with regard to business opportunities, franchises and selling practices.
