Business Description

Forest City Enterprises, Inc. was founded in 1920 and publicly traded since 1960. It is engaged in the ownership, development, management and acquisition of commercial and residential real estate properties in 27 states and the District of Columbia. The Company operates through three strategic business units and five reportable segments. The three strategic units/reportable segments are the Commercial Group, Residential Group and Land Development Group. The Commercial Group owns, develops, acquires and operates regional malls, specialty/urban retail centers, office and life science buildings, hotels and mixed-use projects. The Residential Group owns, develops, acquires and operates residential rental properties, including upscale and middle-market apartments and adaptive re-use developments. Additionally, it develops for-sale condominium projects and also owns interests in entities that develop and manage military family housing. The Land Development Group acquires and sells both land and developed lots to residential, commercial and industrial customers. It also owns and develops land into master-planned communities and mixed-use projects. The remaining two reportable segments are the New Jersey Nets (The Nets), a franchise of the NBA in which the Company accounts for its investment on the equity method of accounting, and Corporate Activities. The Company has centralized the capital management, financial reporting and certain administrative functions of its business units. In most other respects, the strategic business units operate autonomously, with the Commercial Group and Residential Group each having their own development, acquisition, leasing, property and financial management functions. At January 31, 2009, the Company had approximately $11.4 billion in consolidated assets, of which approximately $10.6 billion was invested in real estate, at cost. The Company's core markets include the New York City/Philadelphia metropolitan area, Denver, Boston, the Greater Washington D.C./Baltimore metropolitan area, Chicago and the state of California. It has offices in Albuquerque, Boston, Chicago, Denver, London (England), Los Angeles, New York City, San Francisco, Washington, D.C. and its corporate headquarters in Cleveland, Ohio. The Company's portfolio of real estate assets is diversified both geographically and among property types. The real estate industry is highly competitive in many of the markets in which the Company operates. In addition to real estate competition, the Company faces competition related to the operation of The Nets, a professional sports franchise. Specifically, The Nets are in competition with other league sports, college athletics and other sports-related and non-sports related entertainment. The Company is subject to a number of foreign, federal, state and local environmental protection and health and safety laws and regulations governing, among other things: the generation, storage, handling, use and tra
