First Defiance Financial Corp was incorporated in Ohio in June 1995. The Company is a unitary thrift holding company that, through its subsidiaries, First Federal Bank of the Midwest, First Insurance Group of the Midwest, Inc., and First Defiance Risk Management Inc., engaged in traditional banking and property and casualty, life and group health insurance products. Its activities include originating and servicing residential, commercial, and consumer loans and providing various depository services. Its activities consist mainly of selling property and casualty, life and group health insurance products. The Company operates as a locally oriented, community-based financial services organization, augmented by experienced, centralized support in select critical areas. The Company's core business operations are conducted through the following Subsidiaries; First Federal Bank of the Midwest, First Insurance Group of the Midwest and First Defiance Risk Management. First Federal conducts operations through 26 full service banking center offices in Allen, Defiance, Fulton, Hancock, Henry, Lucas, Ottawa, Paulding, Putnam, Seneca, Williams and Wood counties in northwest Ohio, 1 full service banking center office in Allen County in northeast Indiana and 5 full service banking center offices in Lenawee County in southeast Michigan. First Federal is mainly engaged in community banking. It attracts deposits from the general public through its offices and uses those and other available sources of funds to originate residential real estate loans, non-residential real estate loans, commercial loans, home improvement and home equity loans and consumer loans. In addition, First Federal invests in U.S. Treasury and federal government agency obligations, obligations of the State of Ohio and its political subdivisions, mortgage-backed securities that are issued by federal agencies, including real estate mortgage investment conduits and collateralized mortgage obligations, and corporate bonds. First Insurance Group of the Midwest is an insurance agency that conducts business in the Defiance, Maumee, Oregon, Bryan and Bowling Green, Ohio areas. First Insurance offers property and casualty insurance, life insurance and group health insurance. First Defiance Risk Management is a wholly-owned insurance company subsidiary of the Company to insure the Company and its subsidiaries against certain risks unique to the operations of the Company and for which insurance may not be currently available or economically feasible in today's insurance marketplace. The Company competes with local financial institutions and commercial banks with banking center offices in the Company's market area. The Company is subject to regulation, examination and oversight by the Office of the Comptroller of the Currency and the Federal Reserve Board.
