First Mid Illinois Bancshares incorporated on September 8, 1981, is a financial holding company. The Company is engaged in the business of banking through its wholly owned subsidiary, First Mid-Illinois Bank & Trust, N.A. ("First Mid Bank"). The Company provides data processing services to affiliates through another wholly owned subsidiary, Mid-Illinois Data Services, Inc. ("MIDS"). The Company offers insurance products and services to customers through its wholly owned subsidiary, The Checkley Agency, Inc. doing business as First Mid Insurance Group ("First Mid Insurance"). The Company also wholly owns two statutory business trusts, First Mid-Illinois Statutory Trust I ("Trust I"), and First Mid-Illinois Statutory Trust II ("Trust II"), both unconsolidated subsidiaries of the Company. The Company operates in three primary lines of business—community banking and wealth management through First Mid Bank and insurance brokerage through First Mid Insurance. Within the community banking line, the Company serves commercial, retail and agricultural customers with a broad array of deposit and loan related products. The wealth management line provides estate planning, investment and farm management services for individuals and employee benefit services for business enterprises. The insurance brokerage line provides commercial lines insurance to businesses as well as homeowner, automobile and other types of personal lines insurance to individuals. The Company has active competition in all areas in which First Mid Bank presently does business. First Mid Bank competes for commercial and individual deposits, loans, and trust business with many east central Illinois banks, savings and loan associations, and credit unions. Financial institutions, financial services companies, and its holding companies are regulated under federal and state law.
