FXCM Inc is an online provider of foreign exchange trading and related services to retail and institutional customers. It offers its customers the ability to trade contract for differences, spread betting, equities and equity options.

FXCM Inc., a Delaware holding company incorporated on August 10, 2010. The Company is an online provider of foreign exchange "FX" trading and related services to retail and institutional customers in different regions. As an online provider of FX trading and related services, the Company offers its retail and institutional customers access to over-the-counter FX markets. The Company's proprietary trading platform presents its FX customers with the price quotations on several currency pairs from a number of banks, financial institutions and market makers, or FX market makers. It offers its customers the ability to trade contract for differences, spread betting, equities and equity options through its United Kingdom subsidiaries. It also offers FX trading services to banks, hedge funds and other institutional customers, on an agency model basis, through its FXCM Pro division and Faros. The Company's operations relates to FX trading and related services and operates in two segments; retail and institutional, with different target markets and are covered by a separate sales force, customer support and trading platforms in United States, Asia and Europe. It operates its retail business whereby it acts as an agent between retail customers and a collection of large banks and financial institutions by making foreign currency markets for customers trading in foreign exchange spot markets through its retail trading business segment. The retail trading business segment also includes the Company's white label relationships, CFDs, payments for order flow and rollovers. Institutional trading facilitates spot foreign currency trades on behalf of institutional customers, market making and electronic trading in the institutional foreign exchange spot and futures markets. Its institutional trading segment, FXCM Pro, offers FX trading services to banks, hedge funds and other institutional customers on an agency model basis. It offers three types of accounts, each designed for a particular type of retail FX trader. These accounts offer trading in small increments, providing 24/7 support and access to DailyFX resources. The Company offers trading in a growing number of other financial instruments. It also offers a number of trading systems, all of which are supported by its sophisticated, proprietary technology infrastructure, such as; Trading Station, Active Trader Platform, Meta Trader 4, FXCM Pro, and FastMatch. Trading Station is its proprietary flagship technology platform. Trading Station combines power and functionality and is accessible through a user-friendly interface. Active Trader Platform is also a proprietary technology platform, was built and designed for its higher volume customers. Meta Trader 4 is a third-party platform built and maintained by MetaQuotes Software Corp, and has licensed the rights to offers it to its customer base. Last year’s shareholder letter described the sudden and remarkable events that led to our January 2015 investment in FXCM (NYSE:FXCM). This year, we can report that our investment in FXCM is looking solid. Through the end of 2015, our $300 million senior secured term-loan has generated $166 million of principal, interest and fees to Leucadia and $193 million remains outstanding under the credit agreement. Drew Niv and the FXCM management team have done an excellent job stabilizing and even strengthening the business, all while selling off non-core assets in order to pay off our loan. FXCM has come a long way from the extraordinary event that led to our involvement, and it is well on its way to regain and hopefully exceed its historic position in the global foreign exchange market.

Our investment in FXCM is held at fair value and is marked-to-market each quarter. This has created significant short-term variability in Leucadia’s (and FXCM’s) earnings. We determine fair value with the assistance of a nationally recognized third-party valuation firm, and it is based on valuation models that are impacted by various inputs and assumptions, including, most significantly, FXCM’s publicly traded stock price and its volatility. We have had discussions with FXCM about restructuring our profit interest in a manner that is consistent with a sustainable long-term and value-enhancing strategy for both companies.
