AGL Resources was organized and incorporated in 1995 under the laws of the State of Georgia. The Company is an energy services holding Company whose main business is the distribution of natural gas in seven states - Illinois, Georgia, Virginia, New Jersey, Florida, Tennessee and Maryland - through its seven natural gas distribution utilities. The Company is also involved in several other businesses that are mainly related and complementary to its main business. Its retail operations segment serves more than one million retail customers and markets natural gas and related home services to end-use customers in Georgia, Illinois, Indiana, Ohio, Florida and New York. Its wholesale services segment engages in natural gas storage and gas pipeline arbitrage and related activities. Additionally, it provides natural gas asset management and/or related logistics services for each of its utilities, as well as for non-affiliated companies. Its midstream operations segment provides natural gas storage arbitrage and related activities and engages in the development and operation of high-deliverability natural gas storage assets. The Company is also involved in the shipping industry through its cargo shipping segment, which owns and operates Tropical Shipping, one of the largest containerized cargo carriers serving the Bahamas and the Caribbean. The Company's operating segments consist of the five operating and reporting segments - distribution operations, retail operations, wholesale services, midstream operations, cargo shipping and one non-operating segment - other. Its retail operations business competes with other energy marketers to provide natural gas and related services to customers in Georgia, Illinois, Indiana, Ohio, New York and the Southeast region. Wholesale services competes for asset management, long-term supply and seasonal peaking service contracts with other energy wholesalers, often through a competitive bidding process. Its natural gas storage facilities primarily compete with natural gas facilities in the Gulf Coast region of the United States. The Company is subject to federal, state and local laws and regulations governing environmental quality and pollution control.
