Business Description

Glacier Bancorp, Inc. is a Montana corporation incorporated in 2004 as a successor corporation to the Delaware Corporation originally incorporated in 1990. It is a regional multi-bank holding company providing commercial banking services. The Company offers a range of banking products and services, including transaction and savings deposits, commercial, consumer, and real estate loans, mortgage origination services, and retail brokerage services. The Company serves individuals, small to medium-sized businesses, community organizations and public entities. The Company includes the parent holding company and the following eighteen subsidiaries which consist of eleven bank subsidiaries and seven trust subsidiaries. The Company provides full service brokerage services include selling products such as stocks, bonds, mutual funds, limited partnerships, annuities and other insurance products through Raymond James Financial Services and Morgan Stanley Smith Barney, both non-affiliated companies. The Company's strategy has been to profitably grow its business through internal growth and selective acquisitions. The Company's lending activities consist of the origination of both construction and permanent loans on residential real estate loans. The Company provides Builder Guidance Lines that are comprised of pre-sold and spec-home construction and lot acquisition loans. The majority of consumer loans are secured by real estate, automobiles, or other assets. Commercial banking is a highly competitive business. The Company competes with other commercial banks, savings and loan associations, credit unions, finance, insurance and other non-depository companies operating in its market areas. The Company is subject to substantial competition for loans and deposits from other financial institutions. It is subject to regulation, supervision and examination by the Federal Reserve. In general, the BHCA limits the business of bank holding companies to owning or controlling banks and engaging in other activities closely related to banking.
