Shares of prepaid card program manager Green Dot Corp. (GDOT) fell 44.7% in the third quarter. The stock came under pressure after the company lowered expectations in its second quarter earnings report, and concerns grew about the strength of its exclusivity arrangements with various distributors. Green Dot Corporation was incorporated in Delaware in October 1999 as Next Estate Communications, Inc. and changed its name to Green Dot Corporation in October 2005. The Company provides money management solutions in the United States. It offers general purpose reloadable prepaid debit cards, and cash loading and transfer services. It sells its cards and offers its reload services nationwide at approximately 59,000 retail store locations, which provide consumers convenient access to its products and services. The Company's technology platform, Green PlaNET, provides essential functionality, including point-of-sale connectivity and interoperability with Visa, MasterCard and other payment or funds transfer networks, and compliance and other capabilities to its Green Dot Network, enabling real-time transactions in a secure environment. It has designed its products and services to appeal primarily to consumers living in households that earn less than $75,000 annually across the following four segments: Never-banked - households in which no one has ever had a bank account; Previously-banked - households in which at least one member has previously had a bank account, but no one has one currently; Underbanked - households in which at least one member currently has a bank account, but that also use non-bank financial service providers to conduct routine transactions like check cashing or bill payment; and Fully-banked - households that mainly rely on traditional financial services. It distributes its products and services at the retail locations of large national and regional chains throughout the United States and through the Internet. It operates in a highly regulated environment. Its main products and services consist of Green Dot-branded GPR cards, co-branded GPR cards and MoneyPak and point-of-sale, or POS, swipe reload transactions facilitated by the Green Dot Network. The Company also designs, and provide to its retail distributors for use in their stores, innovative packaging and in-store displays that generate consumer interest and differentiate its products from other card products on their racks. It provides customer service for all GPR card and gift card programs that the company manages and for MoneyPak on a 24-hour per day, 365-day per year basis, mainly through third-party service providers in Guatemala and the Philippines, and also through its staff in the United States. The Company competes for access to retail distribution channels and for the attention of consumers at the retail level. Its products and services are generally subject to federal, state and local laws and regulations, including: anti-money laundering laws; money transfer and payment instrument licensing regulations; escheatment laws; privacy and information safeguard laws; banking regulations; and consumer protection laws.
