Business Description

Genco Shipping & Trading Ltd is a New York City-based company, which was incorporated in the Marshall Islands in 2004. The Company transports iron ore, coal, grain, steel products and other drybulk cargoes along worldwide shipping routes. Its fleet currently consists of 35 drybulk carriers, 14 of which it acquired from a subsidiary of The China National Cereals Oil and Foodstuffs Corp., a Chinese conglomerate, in December 2004 and during the first six months of 2005. As of February 26, 2010, 29 of the 35 vessels in its fleet are presently engaged under time charter contracts that expire between March 2010 and October 2012, and six of its vessels are currently operating in vessel pools. Six of its vessels operate in vessel pools, such as the Bulkhandling Handymax Pool and the Lauritzen Pool. Under a pool arrangement, the vessels operate under a time charter agreement whereby the cost of bunkers and port expenses are borne by the pool and operating costs including crews, maintenance and insurance are typically paid by the owner of the vessel. Most of the Company's vessels are chartered to well-known charterers, including Lauritzen Bulkers A/S or LB/IVS Pool, in which Lauritzen Bulkers A/S acts as the pool manager, Cargill International S.A., Pacific Basin Chartering Ltd., STX Panocean (UK) Co. Ltd., COSCO Bulk Carriers Co., Ltd. and Hyundai Merchant Marine Co. Ltd. The Company holds an investment in the capital stock of Jinhui Shipping and Transportation Limited. Jinhui is a drybulk shipping owner and operator focused on the Supramax segment of drybulk shipping. The Company's fleet currently consists of nine Capesize, eight Panamax, four Supramax, six Handymax and eight Handysize drybulk carriers, with an aggregate carrying capacity of approximately 2,903,000 deadweight tons (dwt). As of December 31, 2009, the average age of the vessels currently in its fleet was 7.0 years, as compared to the average age for the world fleet of approximately 15 years for the drybulk shipping segments in which it competes. All of the vessels in the Company's fleet were built in Japanese, Korean, Philippine or Chinese shipyards with reputations for constructing high-quality vessels. The Company's customers include national, regional and international companies, such as Lauritzen Bulkers, Cargill, Pacbasin, STX, Cosco, and HMMC. The Company operates in markets that are highly competitive and based mainly on supply and demand. It competes for charters on the basis of price, vessel location and size, age and condition of the vessel, as well as on its reputation as an owner and operator. It competes with other owners of drybulk carriers in the Capesize, Panamax, Supramax, Handymax and Handysize class sectors, some of whom might also charter its vessels as customers.
