Global Sources, Ltd., is incorporated under the laws of Bermuda. The Company is a business-to-business media company that provides information and integrated marketing services. It provides services that allow global buyers to identify suppliers and products, and enable suppliers to market their products to a number of buyers. Suppliers using its three channels: online marketplaces, print magazines and trade shows which are supported by its advertising creative services, education programs and online content management applications. The Company's online service is creating and hosting marketing websites that present suppliers' product and company information in a consistent, easily searchable manner on Global Sources Online. It publishes printed trade magazines, which consist of advertisements from suppliers and its independent editorial reports and product surveys. The Company also derives a small amount of revenue from buyers that subscribe to its trade magazines and from marketing services provided to suppliers. Its main revenue stream is selling booths to suppliers. Its exhibitions offer international and domestic buyers direct access to manufacturers based in China and other Asian countries. The Company's services are or may be subject to government regulations in various jurisdictions where it or its operations, businesses or activities are located or conducted, where its clients or users are located, or where its services are provided, supplied, transmitted, accessed, used or received.
