Triple-S Management Corp was incorporated under the laws of the Commonwealth of Puerto Rico on January 17, 1997 to engage, among other things, as the holding company of entities mainly involved in the insurance industry. The Company is engaged in the managed care industry in Puerto Rico, serving approximately 2,188,000 members across all regions, with a 26% market share in terms of premiums written in Puerto Rico. Its operating segments include Life Insurance and Property and Casualty segments. Premiums on life insurance policies are billed in advance of their respective coverage period and the related revenue is recorded as earned when due. Premiums on property and casualty contracts are billed in advance of their respective coverage period and are recognized as earned on a pro rata basis over the policy term. The Company has the exclusive right to use the Blue Cross and Blue Shield ('BCBS') name and mark throughout Puerto Rico, the U.S. Virgin Islands, Costa Rica and the British Virgin Islands and Anguilla. The Company markets its managed care products through an extensive network of independent agents and brokers located throughout Puerto Rico as well as an internal salaried sales force. Beginning on November 1, 2011 the Company resumed its participation in this sector as an Administrative Service Only ('ASO') provider. Through its subsidiaries TSS and AH, it offers various managed care products, including HMO plans, PPO plans, Medicare Supplement, Medicare Advantage, Medicare Part D and Medicaid plans. It offers various life, accident, disability and health and annuity products in Puerto Rico through its subsidiary TSV. It offers various property and casualty insurance products through its subsidiary Triple-S Propiedad, Inc. The Company has also established an exclusive pharmacy network with higher discounted rates than its broader network. It has designed a comprehensive Quality Improvement Program ("QIP"). The Company competes with Medical Card Systems Inc., InnovaCare, Inc., Humana, Inc., First Medical Health Plan, Inc., Cooperativa de Seguros de Vida de Puerto Rico, AXA Equitable Life, Mass Mutual Financial Group, among others. Its business operations are subject to comprehensive and detailed regulation in Puerto Rico, as well as U.S. federal regulation.
