HomeFed Corporation was incorporated in Delaware in 1988. The Company is currently engaged, directly and through subsidiaries, in the investment and development of residential real estate projects in the California and Virginia. The Company also investigates the acquisition of new real estate projects, both residential and commercial, within and outside the State of California. The Company's current development projects consist of three master-planned communities located in San Diego County, California: San Elijo Hills, and a portion of the larger Otay Ranch planning area. The San Elijo Hills project, a master-planned community located in the City of San Marcos in San Diego County, California, would be a community of approximately 3,500 homes and apartments, as well as a commercial and residential towncenter. The Company is facing competitive business with numerous residential real estate developers and development projects operating in the same geographic area. The Company is subject to substantial environmental, building, construction, zoning and real estate regulations that are imposed by various federal, state and local authorities. Environmental laws might cause the Company to incur substantial compliance, mitigation and other costs, might restrict or prohibit development in certain areas and might delay completion of the Company's development projects.
