Huntington Preferred Capital, Inc., is organized under Ohio law in 1992 and designated as a real estate investment trust (REIT) in 1998. The Company's business objective is to acquire, hold, and manage mortgage assets and other authorized investments that will generate net income for distribution to its shareholders. It is a party to a Third Amended and Restated Loan Subparticipation Agreement with Holdings and a Second Amended and Restated Loan Participation Agreement with the Bank. The Bank collects and remits principal and interest payments, maintains perfected collateral positions, and submits and pursues insurance claims. In addition, the Bank provides to HPCI accounting and reporting services as required. The Company competes with other banks and financial services companies such as savings and loans, credit unions, finance and trust companies, mortgage banking companies, and brokerage firms, both within and outside of its primary market areas.
